TriQuint Semiconductor Reports That It Has Completed Two Acquisitions - The
TriQuint Semiconductor reports that it has completed two acquisitions - the
Infineon Technologies' gallium arsenide and IBM's wireless phone chipset
businesses (Bulletins 431, May 7, 2002; 438, June 24, 2002).
The first transaction includes development and marketing activities with 60
former Infineon employees. TriQuint will not acquire the manufacturing
operations, but rather enter into an interim supply agreement with Infineon.
The IBM deal has TriQuint taking over the design, development, marketing and
sales of standard and custom IBM products for wireless phones and other
communications applications. IBM will continue to manufacture the components
for TriQuint. IBM is to continue participation in the wireless semiconductor
marketplace through its foundry manufacturing and custom chip activities.
TriQuint will make an initial payment of $22m to IBM for the related assets,
with subsequent adjustments contingent upon business volumes.
European fabless company Dialog Semiconductor has acquired the CMOS imaging
business and associated CMOS Active Pixel Sensor (APS) patent portfolio from
the US-based Sarnoff Corporation, the research and development institute
formerly known as RCA Laboratories.
The two companies plan long term joint development of imaging technology
with Sarnoff continuing its CMOS business in advanced imaging for medical,
government and low volume applications. As part of the agreement, a core
team from Sarnoff is designated to transfer and implement the technology at
Dialog. The financial terms of the deal were not disclosed. Sarnoff's CMOS
active pixel sensor (APS) design was first used in radiography applications
in 1998.
Toshiba has taken full control of a manufacturing joint venture in China.
Wuxi Huazhi Semiconductor was established in October 1994 in Wuxi with
Huajin Electronics Group as partner. The company assembles and inspects
bipolar and Bi-CMOS ICs for television and audio applications. The buy out
will be reflected in a name change to Toshiba Semiconductor (Wuxi). Toshiba
will increase the capitalisation of the company to $15m and transfer
operations to a newly developed industrial park at Wuxi. A two-year, JPY5bn
investment programme will raise capacity from 3m units a month to 30m. The
new facility will also diversify into discrete devices.
Advantest has bought a 38% stake in Japan Electric (JEC), a producer of
burn-in test products.
